Terms of Service

These Terms of Service ("Terms") govern access to and use of ShotTrack Media websites, APIs, and the ShotTrack Media desktop application (together, the "Service") operated at https://shottrack.ca. By creating an account, signing in, or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the studio or vendor company you represent.

ShotTrack provides production tracking (shows, shots, vendors, bidding, review, billing) and optional media transfer tooling (Media Shuttle) that moves files between local workstations and studio-configured storage backends such as Google Drive, S3, or MinIO. Features may change as we improve the product.

• You must provide accurate registration information and keep credentials confidential.
• Studio admins are responsible for inviting users, assigning roles, and configuring vendor access.
• You must promptly notify us of unauthorized use. We may suspend accounts that compromise security or violate these Terms.

• You retain ownership of production data and media files you upload or store through the Service ("Customer Content").
• You grant us a limited license to host, process, transmit, and display Customer Content solely to operate the Service for your organization.
• Direct-to-storage transfers may send file bytes to third-party storage you configure. You are responsible for rights to that content and for that provider's terms.
• Google Drive connections require your separate consent to Google's scopes; disconnect anytime in Media Connections.

You agree not to:

• Violate laws or third-party rights (including IP and privacy rights).
• Attempt unauthorized access to other studios, vendors, or systems.
• Probe, scan, or overload the Service except via documented APIs within rate limits.
• Upload malware or use the Service to distribute illegal content.
• Resell or white-label the Service without a written agreement.

The Service may integrate Google, cloud storage, email, or messaging providers. Your use of those services is subject to their terms. We are not responsible for third-party outages or policy changes.

Each party may receive confidential production or business information. Recipients must protect it with reasonable care and use it only for performing under these Terms, except information that is public, independently developed, or required to be disclosed by law.

Paid plans, if any, are described in an order form or studio agreement. Fees are non-refundable except as required by law or expressly stated in writing.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOTTRACK AND ITS SUPPLIERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST-PROFITS DAMAGES, OR FOR LOSS OF DATA OR MEDIA, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR USD $100 IF YOU HAVE NOT PAID).

You will defend and indemnify ShotTrack against claims arising from your Customer Content, your misuse of the Service, or your violation of these Terms or applicable law.

You may stop using the Service at any time. We may suspend or terminate access for breach or risk to the Service. Upon termination, your right to use the Service ends; provisions that by nature should survive (including ownership, confidentiality, disclaimer, and liability limits) will survive.

We may update these Terms by posting a revised version on this page. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service.
